Terms & Conditions

Last updated: May 2025

These Terms and Conditions govern your use of the Brightreef website at brightreefx.biz and the advisory services provided by Brightreef, operating from 9 Beach Road, Patong, Kathu, Phuket 83150, Thailand. By visiting this website or engaging our services, you agree to these terms. If any part is unclear, please contact us before proceeding.

1. About Our Services

Brightreef provides advisory, educational, and operational guidance services relating to digital tools and business processes. Our three service offerings are:

  • Digital Readiness Review — an assessment of existing tools and workflows, delivered as a written document.
  • Workflow Modernisation Project — a hands-on engagement to redesign a specified workflow, including documentation and early rollout support.
  • Technology Roadmap Advisory — a planning engagement resulting in a staged roadmap document and a quarterly review session.

All services are advisory and informational in nature. They do not constitute regulated professional advice in any licensed field (legal, financial, medical, or otherwise).

2. Engagement and Scope

Each engagement is defined by a written scope of work agreed between Brightreef and the client organisation before work begins. The scope sets out the deliverables, timeline, and fee. Work outside the agreed scope is discussed and priced separately before it is undertaken.

Brightreef reserves the right to decline an engagement if it falls outside our areas of expertise or if there is a conflict of interest.

3. Fees and Payment

Fees are quoted in Thai Baht (฿) and are as listed on this website unless otherwise agreed in writing. Payment terms will be specified in the engagement agreement. Standard terms are 50% upon agreement and 50% upon delivery of the primary deliverable.

Fees are not refundable for work already completed. If an engagement is paused or cancelled at the client's request, fees for completed work are payable.

Brightreef does not promise any specific outcome as a result of its services, and fees are not contingent on any particular result being achieved.

4. Confidentiality

Brightreef treats all information shared during an engagement as confidential. We do not disclose client details, workflows, or internal documentation to third parties without written consent, except where required by law.

Clients are asked to treat Brightreef's working documents, methodologies, and templates in the same way — as confidential to the engagement.

A more detailed confidentiality agreement is available on request before any engagement begins.

5. Intellectual Property

Deliverables produced during an engagement (reports, workflow documents, roadmaps) become the property of the client organisation upon receipt of full payment.

Brightreef retains ownership of its general methodologies, templates, and tools used in producing those deliverables. Client-specific content within deliverables belongs to the client.

The content of this website — including text, design, and structure — belongs to Brightreef and may not be reproduced without permission.

6. Website Use

You may browse this website for informational purposes. You agree not to:

  • Use automated tools to scrape or harvest content from this site
  • Attempt to disrupt or interfere with the website's operation
  • Submit false or misleading information through our contact form
  • Represent yourself as affiliated with Brightreef without authorisation

We reserve the right to restrict access to the website if these terms are breached.

7. Accuracy of Information

We make reasonable efforts to keep the information on this website accurate and up to date. However, information about services, pricing, or availability may change, and we do not warrant that all content is free from error at all times. Where pricing or scope matters, please confirm current details with us directly before making any decisions.

8. Limitation of Liability

Brightreef's advisory services are informational. We are not responsible for decisions made by a client based on our advice, or for outcomes that arise from implementing our recommendations. Clients remain responsible for their own operational decisions.

To the extent permitted by Thai law, Brightreef's total liability in connection with any engagement shall not exceed the fees paid for that engagement.

9. Governing Law

These terms are governed by the laws of Thailand. Any disputes arising in connection with these terms or any engagement will be subject to the jurisdiction of the Thai courts.

10. Changes to These Terms

We may update these terms from time to time. The current version will always be available on this page with a revised date. Continued use of the website after an update constitutes acceptance of the revised terms. If you have an active engagement with us, the terms in effect at the time of agreement apply to that engagement.
